Terms of Service

1. Acceptance and scope

These Terms of Service (the "Terms") are an agreement between you and Fridge Buddy, Inc., a Delaware corporation ("Fridge Buddy," "we," "us," or "our"), and govern your use of the Fridge Buddy mobile application (the "App") and the website located at getfridgebuddy.com (the "Site," and together with the App, the "Services"). By downloading, opening, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. The App

The App is a personal kitchen assistant. It identifies groceries from photos you take, provides general guidance on storing them, reminds you when items are nearing the end of their typical shelf life, and suggests meals and recipes based on your inventory. Information presented in the App is curated from authoritative sources (USDA, FDA, UC Davis Postharvest, Cornell Cooperative Extension, the National Center for Home Food Preservation, and chef and food-science publications) and presented in plain language for everyday use.

3. Beta access

The App is currently offered in a beta program. Access is by invitation, and we may add, change, remove, or discontinue features, limit participation, or suspend or end the beta program at any time without liability. If you provide feedback, ideas, or suggestions regarding the Services, whether through in-app mechanisms, interviews, or otherwise, you grant us a perpetual, irrevocable, royalty-free right to use them for any purpose without obligation to you.

4. Your account

You sign in to the App with your email address using a one-time code. You are responsible for providing an email address you control and for maintaining the security of access to it; anyone with access to your email may be able to sign in as you. We may suspend or terminate accounts that violate these Terms. Account and data deletion are described in the Privacy Policy.

5. Memberships and billing

Some or all features of the App may require a paid membership. The price and billing period are displayed before you purchase, and payment is charged to the app store account through which you purchased (the App Store or Google Play). Memberships renew automatically at the end of each billing period until canceled.

• You may cancel at any time in your app store subscription settings. Cancellation takes effect at the end of the current billing period.
• Deleting the App does not cancel your membership.
• If a free trial is offered, its length and terms are displayed when you start it. Unless you cancel before the trial ends, your membership begins and the applicable store will charge you at that time.
• Refunds are handled by the app store through which you purchased, under its policies.
• We may change pricing. Changes apply from your next billing period, and the applicable store will provide notice before a price increase takes effect.
• Free, promotional, or gifted memberships may carry additional conditions, which will be stated when offered.

6. Give-back program

We may offer a program under which paid memberships fund free memberships for families facing food insecurity, as described on the Site at the time of your purchase. Gifted memberships are subject to eligibility criteria and availability, have no cash value, are not transferable or redeemable for money, and are provided at our discretion. We may modify, pause, or discontinue the program at any time; changes will not affect the price you pay.

7. Food safety

The storage advice, shelf-life estimates, cooking recommendations, and spoilage indicators in the App are general guidance only. They are not medical advice, professional food-safety advice, or a substitute for your own judgment. When in doubt, throw it out.

• Shelf-life estimates are typical ranges. Actual freshness varies with the condition of the food when purchased, refrigerator temperature, packaging, and handling.
• Spoilage cues presented in the App (smell, appearance, texture) are guides. If a food looks, smells, or tastes off, do not eat it, regardless of what the App indicates.
• Cooking and preparation guidance for items that can be unsafe when undercooked (including raw kidney beans, lima beans, cassava, taro, bamboo shoots, and raw or undercooked meat, poultry, eggs, and seafood) is a summary of general guidance. Follow the instructions on the packaging of the food you purchased and, where applicable, the most current USDA, FDA, or equivalent authority.
• If you have a food allergy or a medical condition requiring a specific diet, are pregnant, are immunocompromised, are very young or very old, or are preparing food for someone in those groups, treat the App as a starting point and consult appropriate professional advice. Some risks are not detectable by inspection (including Vibrio in raw oysters, Listeria in soft cheeses and unpasteurized dairy, scombrotoxin in mishandled fish, and prions in game meat), and the App cannot detect them.
• The App does not inspect your food. It cannot know how food was handled before purchase, whether the cold chain was maintained, or whether a specific item is contaminated.

You assume all responsibility for decisions regarding food storage, preparation, and consumption made in reliance on the App.

8. License

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, solely for personal, non-commercial household use. You may not copy, modify, distribute, sell, or lease the Services, their source code, or their content, and you may not reverse-engineer or attempt to extract the source code except where permitted by applicable law.

9. Acceptable use

You agree not to use the Services in violation of law or these Terms; to attempt to disrupt, overload, or gain unauthorized access to our systems; to scrape or systematically extract catalog or recipe content; or to submit images that are unlawful, obscene, or intended to abuse or test the system. We may rate-limit, suspend, or block use that we reasonably believe is harmful or abusive.

10. Third-party services and content

When you scan groceries, images are transmitted through a service we operate to a third-party image-recognition provider that identifies the items. We do not store the images; the provider's handling is described in the Privacy Policy. The App also displays recipes and related content sourced from third parties. Third-party content is provided for convenience; we do not author or verify it, and we are not responsible for its accuracy, including its ingredients, preparation instructions, or nutritional claims. Your use of app stores and other third-party services is governed by their own terms.

11. Intellectual property

The Services, including their design, code, brand, illustrations, written content, and curated storage guidance, are owned by Fridge Buddy, Inc. and protected by copyright and other intellectual property laws. Third-party sources cited in the App remain the property of their respective owners. You retain ownership of photos you take. By using the scan feature, you grant us a limited license to process those photos solely to identify your groceries and return the result to you.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT ANY GUIDANCE OR CONTENT IS COMPLETE, ACCURATE, OR APPLICABLE TO YOUR SPECIFIC FOOD ITEM.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL FRIDGE BUDDY, INC. OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, INCLUDING ANY ILLNESS, INJURY, OR LOSS RESULTING FROM FOOD YOU CHOSE TO PREPARE, STORE, OR EAT BASED ON GUIDANCE FROM THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you in full. In those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Fridge Buddy, Inc. and its affiliates from any claim, loss, or expense arising out of your misuse of the Services, your violation of these Terms, or your violation of the rights of any third party.

15. Apple-specific terms

If you downloaded the App from the App Store: these Terms are between you and Fridge Buddy, Inc., not Apple. Apple is not responsible for the App or its content and has no obligation to provide maintenance or support for it. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Apple is a third-party beneficiary of these Terms and may enforce them against you.

16. Google Play terms

If you downloaded the App from Google Play: these Terms are between you and Fridge Buddy, Inc., not Google. Google is not responsible for the App or its content and has no obligation to provide maintenance or support for it. Your use of Google Play is also governed by the Google Play Terms of Service.

17. Changes to the Services and these Terms

We may add, change, or remove features at any time. If we materially change these Terms, we will post the updated Terms on this page, revise the effective date above, and announce material changes in the App where reasonably possible. Continued use of the Services after a change constitutes acceptance of the updated Terms.

18. Termination

You may stop using the Services at any time by deleting the App; note that deleting the App does not cancel a paid membership, which must be canceled in your app store subscription settings. We may suspend or terminate your access if you violate these Terms or use the Services in a way that harms us, other users, or the providers we depend on. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, intellectual property, and governing law) survive.

19. Governing law and disputes

These Terms are governed by the laws of the State of California, U.S.A., without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in California, and you and Fridge Buddy, Inc. consent to personal jurisdiction there. If you are an EU consumer, mandatory consumer-protection laws of your country of residence may also apply.

20. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remainder will remain in effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fridge Buddy, Inc. regarding the Services and supersede any prior agreement on the same subject.
